Terms of Service

These Terms of Service ("Terms") govern your use of the Modudraft platform ("Service") operated by Modudraft ("we", "us", or "our"). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Modudraft is a system-design canvas tool that lets you create, share, and collaborate on technical architecture diagrams. We offer Free, Pro, Team, and Enterprise subscription tiers. Feature availability depends on your plan as described on the pricing page.

2. Accounts

You must provide accurate information when creating an account. You are responsible for maintaining the security of your credentials and for all activity under your account. Notify us immediately at [email protected] if you suspect unauthorized access.

You must be at least 16 years old to use the Service. Accounts for minors are not permitted.

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

4. Your Content

You retain all rights to the diagrams and content you create ("Your Content"). By using the Service, you grant us a limited, non-exclusive license to store, process, and display Your Content solely to provide the Service to you.

We do not claim ownership of Your Content. We will not use Your Content to train AI models or share it with third parties except as described in our Privacy Policy.

You are solely responsible for Your Content. We may remove content that violates these Terms or applicable law.

5. Subscriptions and Billing

Paid plans are billed in advance on a monthly or annual cycle. Prices are listed at modudraft.com/pricing. All fees are in USD and are non-refundable except as required by law or as described below.

14-day trial. Eligible accounts may activate a 14-day Pro trial once. The trial is free and does not require a payment method. After the trial, you revert to the Free plan unless you subscribe.

Cancellation. You may cancel your subscription at any time from Dashboard → Settings → Manage subscription. Cancellation takes effect at the end of the current billing period. You retain access to paid features until then.

Refunds. We offer a full refund if you cancel within 7 days of your first paid charge. After that, refunds are at our discretion. Contact [email protected].

Upgrades / downgrades take effect immediately. Prorated credits are applied automatically by our payment processor (Stripe).

We may change prices with 30 days' notice. Existing subscribers are grandfathered at their current price for the remainder of their billing cycle.

6. Free Plan Limits

Free accounts may create up to 3 diagrams (including diagrams in the Bin). If you reach the limit, you must upgrade to Pro or delete existing diagrams before creating new ones. We may adjust free-tier limits with 30 days' notice.

7. API Keys and MCP

API keys grant programmatic access to your diagrams and are available to Pro+ subscribers. You are responsible for keeping your API keys confidential. Keys should not be committed to public repositories or shared with unauthorized parties. We may revoke keys that are misused.

8. Intellectual Property

The Modudraft application, including its UI, code, and documentation, is our proprietary software. Nothing in these Terms grants you rights to our intellectual property beyond what is expressly stated.

The tool catalog includes third-party trademarks and logos (e.g., AWS, Google Cloud). These belong to their respective owners and are used for identification purposes only.

9. Availability and SLA

We aim for high availability but do not guarantee uninterrupted service. The Service is provided "as is." We are not liable for downtime, data loss, or service interruptions except as expressly stated in a separate Enterprise SLA agreement.

We may perform scheduled maintenance with advance notice posted at github.com/modudraft/feedback or via email.

10. Termination

Either party may terminate these Terms at any time. You may terminate by deleting your account (Dashboard → Settings → Delete account). We may suspend or terminate your account if you violate these Terms, without prior notice for severe violations (e.g., security attacks, illegal content).

Upon termination, your diagrams are soft-deleted and permanently purged within 30 days. You can export your diagrams before deleting your account.

11. Disclaimer of Warranties

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

12. Limitation of Liability

To the maximum extent permitted by law, our total liability for any claims arising from your use of the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) $100 USD.

We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.

13. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses (including reasonable attorney fees) arising from your use of the Service, Your Content, or your violation of these Terms.

14. Governing Law

These Terms are governed by the laws of Israel, without regard to its conflict-of-law provisions. Disputes shall be resolved in the courts located in Tel Aviv, Israel. If you are a consumer in the EU or UK, mandatory consumer protection laws in your jurisdiction also apply.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email or in-app notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
